1.1. This User Agreement (hereinafter referred to as the “Agreement”) is mutually agreed and put into effect by and between Allianz Sigorta A.S. / Allianz Hayat ve Emeklilik A.S. / Allianz Yasam ve Emeklilik A.S. (hereinafter referred to as "Allianz"), a company incorporated and validly existing under the Laws of the Republic of Turkey, and situated at Allianz Tower Kucukbakkalkoy Mh. Kayisdagi Cd. No:1 Atasehir 34750 Istanbul/ Turkey, and the User (hereinafter referred to as the “User”) of Allianz One App application (hereinafter referred to as the “Mobile Application” ).

1.2. Logging in the Mobile Application, the user hereby agrees and represents that the user has read the Agreement entirely, and understood the content thereof as a whole, and agree to all the terms thereof.

2.1. The following terms used herein shall have the following meanings:
“Allianz”, means Allianz Sigorta A.S., Allianz Hayat ve Emeklilik A.S., and Allianz Yasam ve Emeklilik A.S.,
“Content”, means any and all information, files, images, figures, literary and audiovisual images as posted on, or accessible through, the Mobile Application,
“User”, means all natural persons, and legal entities that shall make use of the Contents, applications, and the Service as made available on the Mobile Application by agreeing to the terms of the Agreement, and are competent to exercise the civil rights,
“Service”, means the service(s) to be provided for the User by Allianz under the Mobile Application,
“Agreement”, means this User Agreement,
“Parties”, means Allianz and the User,
“Mobile Application”, means the application which is accessible under App Store and Google Play, and where the insurance products and services of Allianz the coverage of which is specified under this Agreement are provided.

3.1. This Agreement sets out the rights and obligations of Allianz and the User with respect to all the products, the Contents, and the Service of Allianz engaging in the insurance business, which are currently existing on the Mobile Application and will be made available in the future, and the terms of use for these products and services. By accepting the terms of this Agreement, the User hereby acknowledges any and all the statements made by Allianz with respect to the use, subscription, and services as contained in the Mobile Application, and warrants that the user shall act in accordance with any and all considerations as specified in the respective statements, and also agrees and represents that the information to be provided by the User shall be used for providing the Services as contained in the Mobile Application.

4.1. Mobile Application may only be visited, displayed, operated for personal use only for legally appropriate purposes; the Mobile Application users may monitor the details of their savings portfolios, payments, policies, claims and health provision processes if they have, and get access to such functions as Ambulance, Call Center, and Roadside Assistance using the speed dialing buttons, and display the Contracted Health Providers and Approved Repairshops on the map by their location, may also see the contracted doctors, their available appointment slots, if they have the coverage on their policy they can get an appointment from contracted doctors, dieticians, psychologists and get remote health services via official system providers for remote health services, benefit from digital health services, use the informative and risk measurement based Health Risk Tests modüle to assess their health risks by answering the questions. Furthermore, they may also get access to the information they need such as Accident Report through directions to the 3rd party links and Allianz websites. The Mobile Application shall be such that it is continuously updated in line with the Technological developments and customer/insured needs.

4.2. Allianz is not responsible for any damages that may arise from the inaccuracy of the information contained in the Mobile Application or its use for other purposes.

4.3. It is forbidden that the User to take any action to threaten the security of the Mobile Application and/or other Users. Allianz is not responsible any the damages to third party caused by the transaction of the users on the Mobile Application or the Users illegal actions.

4.4. Persons under the age of 18, with disabilities and under incapacity can only make transactions on the Mobile Application through their parents or legal representatives in Accord with the law. Otherwise, all transactions will be invalid.

4.5. By choosing to connect your health applications through your phone settings, you can access health-related content such as personalized health recommendations, health tests, and healthy information with the Digital Health function in our Mobile App. This way, you can track your daily activities (Steps), sleep quality (Sleep Session), and vital signs (Heart Rate, Oxygen Saturation). This data is used to improve the health recommendations we offer in the Digital Health area and to provide more personalized suggestions, helping you to establish healthy habits. The data in the Digital Health area is not associated with health policies. You can change your preferences at any time in your phone settings and manage your choices regarding connecting health applications.

5.1.1. Allianz reserves its right to make any amendment to the Agreement at its sole discretion and unilaterally at any time, without any reason whatsoever and without any further notice to the Users. Such amendments shall be effective as of the date when they are posted on the Mobile Application, and shall be valid and binding on the Parties. The Users shall be deemed to have agreed to such amendments, if they continue to use the Service on the Mobile Application.

5.1.2. Allianz shall be free to decide whether it provides the Service, provided that there is not such a statutory obligation, and shall be entitled to cause the Service and the Contents as made available on the Mobile Application to be subject to some further conditions, without prior notice, and to suspend and/or replace, and to discontinue the Service under the Mobile Application, and the Website, and to block the access to, and remove all the details of the third parties or the Users as entered into the system, the Service, and the Contents. Allianz may exercise this right without any notice and any time prescription but Allianz shall not have any liability to exercise such right.

5.1.3. Allianz shall not be obliged and liable to verify the information and Contents as submitted by the User to Allianz, or uploaded, changed, or provided by Allianz on the Mobile Application, and to warrant and guarantee that such information and Contents are secure, true, and legally appropriate, and may not be held liable for any losses/damages to be incurred due to such incorrect or faulty information and Contents.

5.1.4. Allianz shall not be liable for any losses/damages that have arisen and may arise, if any changes and/or corrections as requested by Allianz from the User have not been performed within the specified time period, and Allianz shall be entitled to suspend or terminate the right of the User to use the Mobile Application.

5.1.5. The links to any third parties and other websites, files, contents, and similar other sites as operated by any third parties through the Mobile Application are only for information, advertising and giving the related service purposes, and it is not guaranteed by Allianz that such linked sites are secure, regulated, and true. The accuracy, security, and guarantee for compliance with the regulations of the information, contents, and audio-visual images provided and posted by the third parties shall be completely under the responsibility of those persons who perform these actions and/or submit the contents to the Mobile Application. Allianz does not warrant and guarantee the security, accuracy and legal compliance of such services and contents as provided by third parties.

5.1.6. Allianz does not guarantee and warrant that the files downloaded from the Mobile Application do not contain virus or similar other malicious properties; that the Mobile Application shall be free of errors and uninterrupted and/or any probably expected effects of use of the Service, and shall not be liable for any acts and deeds of the third parties and the Users of the Mobile Application, and such other actions including but not limited to any failure, error, omission, cutoff, virus, and delay of transfer that may occur during the use of Mobile Application, and inconveniences and delays caused by the Internet connection service providers, and similar other external factors, decisions and practices of jurisdiction and other authorized governmental entities, and damages and losses incurred due to any force majeure event, and for the information and images as used on the Mobile Application in any manner and under any circumstances whatsoever.

5.1.7. Allianz may limit or suspend the access to the service, if the operational security of the network is at risk, and to ensure the continuance of network access; to prevent any possible failure of the network, software, and recorded files; to prevent and mitigate the impact of possible failures, and in other cases as deemed necessary.

5.2.1. The User agrees, represents and warrants that the User shall act in accordance with all the terms and conditions herein, the rules, and all the applicable regulations, while using the products or services on the Mobile Application, and performing any transaction related to the products, contents, or services; that the User have read, understood, and acknowledged all the terms and conditions as specified herein, and that the personal data as provided by the User are accurate.

5.2.2. Allianz shall not be responsible for verifying the information to be provided by the User. All responsibility shall belong to the User, and the User accepts, declares and undertakes that he will be responsible for all kinds of damages if the situation is determined.

5.2.3. The User agrees and represents that the User shall make use of the Service under the information as specified by the User. The User agrees, represents and warrants that the User shall enter the information as required for making use of the Service.

5.2.4. It is also possible for the User to request for Service in favor of the third parties.

5.2.5. The User agrees, represents and warrants that the User shall provide all the information asked for on the Mobile Application completely and accurately, and that all the transactions made have been exclusively and individually performed by the User. The User warrants that the contact information provided by the User to Allianz is the contact information which is solely held by the User and under the control of the User only, and that the User makes active use of these means of communication, and that the User shall immediately notify Allianz thereof, in case of any change to such information. Otherwise, the User shall be liable to indemnify any and all loss and damages that may be incurred by Allianz and the third parties due to any failure of User to have such contact information itself, or to make active use of such means of communication.

5.2.6. Visiting and using the Mobile Application, the User hereby agrees, represents and warrants that the User shall not infringe the intellectual property rights as specified; that the User shall not duplicate, replicate, publish, change, translate into another language, retain, or treat, distribute, process, download, display, destroy, or use in any way the images, icons, databases, titles, trade names, Contents, the software, products, design, trademark, patent, logo, and any and all other similar information, documentation, and visuals on the Mobile Application that belong to Allianz and/or any other third parties; that the User shall not make use of the whole or a part of the Mobile Application on another website without consent of Allianz, and shall not provide any link to the Mobile Application without written consent of Allianz; that the User shall not enter into direct and/or indirect competition with Allianz, and that the User shall not make any illegal and/or unauthorized use of the Mobile Application in any manner whatsoever.

5.2.7. The User is obligated to keep confidential the information such as the username and password used to access the Mobile Application. The right to use this information belongs exclusively to the User, and the user shall not disclose this information to any third parties under any circumstances. The User is fully responsible for the consequences of the unauthorized use of this information by a third party. Allianz is not obliged to identify the identities of individuals engaging in such unauthorized use. The user, subject to the provisions stated above, acknowledges, declares, and undertakes that they are responsible for the use of this information by a third party and its consequences, and the transactions made using this information will bind them. The user is obligated to immediately inform Allianz if they learn that their password has been compromised.

5.2.8. The User agrees that Allianz shall be entitled to disclose the information, belonging to the Users as obtained under the Mobile Application, to the governmental authorities, if such information is duly required by the governmental authorities to be disclosed, in cases where Allianz is obliged to disclose the same to the governmental authorities as required by the statutory regulations, and no claims for damages shall be raised against Allianz for that reason under any name whatsoever.

6.1. Any and all rights to this Mobile Application software, and any and all registered and unregistered intellectual property rights such as title, trade name, trade mark, patent, logo, design, text, image, icon, data and method are the property of Allianz, and protected by national and international law. Any visit to the Mobile Application or any use of the Service on the Mobile Application shall not grant any rights to the User with respect to such intellectual property rights. The User agrees, represents and warrants that the User shall not infringe the respective intellectual property rights by visiting or using the Mobile Application. Allianz reserves all its rights to all its assets, rights in rem and personam, business information, and know- how including any and all property and intellectual property rights it holds through the Mobile Application.

6.2. The information available on the Mobile Application may not be used in any manner, or otherwise replicated, translated into another language, retained, or treated in any way. The information available on the Mobile Application may not be published, copied, presented and/or transferred in any way whatsoever without written consent of Allianz. The whole or a part of the Mobile Application may not be used on another website without authorization and consent of Allianz. No link may be provided to the Mobile Application without written consent of Allianz.

6.3. Allianz may cancel the rights to get access to the Mobile Application and/or use the Mobile Application of the Users, who make unauthorized use of all the registered or unregistered intellectual property rights such as design, image, database, file, title, trade name, trade mark, patent, logo, text, audio-visual image, icon, information and method, and if Allianz becomes aware of such use, it may also seek any and all legal and administrative remedies.

7.1. The User agrees, represents and warrants that the User shall assume any and all legal, criminal liabilities or any other liabilities for any transactions and actions performed by the User; that the User shall comply with the law and the provisions of the applicable regulations while using the Mobile Application; that the User shall be solely liable for any and all losses/damages incurred by both Allianz and any third parties for such reasons as any failure to comply with the law and the provisions of the applicable regulation, performance of any transactions on the infrastructure of the Mobile Application that are not reasonable and impose disproportionate burden on it, unauthorized access to the Mobile Application, and unauthorized use of the Mobile Application; that the User shall indemnify any loss and damages that may be incurred by Allianz and the third parties due to illegal and unlawful use of the Mobile Application; that the User shall not raise any claims against Allianz due to such liabilities, and that the User shall immediately indemnify any possible claims and damages against Allianz.

7.2. Allianz may not be held liable for any physical, moral, legal and financial consequences, or any direct and indirect damages such as loss of profits that may occur due to any and all types of use including misuse, illegal use or unlawful use of the Contents and the Service as provided on the Mobile Application as well as for any damages that may be incurred or have been incurred by the third parties. Accordingly, the Users hereby agrees, represents and warrants that in the event that any liability is imposed on Allianz, the Users, who cause the same, shall immediately indemnify any and all damages incurred by Allianz.

8.1. In case of such events considered to be 'force majeure' events that are not under the reasonable control of the affected party, and cannot be foreseen and prevented or avoided, although the affected party takes due care, including but not limited to cyber attacks, acts of God, riots, wars, strikes, communication problems, infrastructure and Internet failures, power failures and adverse weather conditions, Allianz shall not be liable for any delayed performance or underperformance, or non-performance of its obligations as specified herein. In case of any force majeure, no claims for damages shall be raised against Allianz under any name whatsoever.

9.1. Allianz does not have any legal relationship or partnership or affiliation with other persons and entities on the links available on Mobile Application, and Allianz does not guarantee the acts and reliability of such persons and entities; and it does not purport that Alliance acts on behalf of them and/or represents them, is a business partner to them or authorizes them in any respect, or acts for and on behalf of them. Therefore, Allianz shall not be liable for acts and actions of such person(s)/entities. Any warrants that are not provided directly by Allianz shall not be binding on Allianz.

9.2. Allianz shall not be liable for any information available on the Mobile Application, such information/changes to information not reflected on Allianz by the user or any third parties, and any other Internet-related threats such as viruses intruding into the User's computer due to use of the Mobile Application. Allianz shall not be liable in any way for any damages including but not limited to any direct or indirect consequential damages, loss, and expenses as a result of any failure, error, omission, interruption, delayed transfer, computer virus, line or system failure, or force majeure during the use of Mobile Application.

9.3. Allianz may cancel and/or modify any part of the Mobile application at any time it wishes, or restrict the access to certain features and information on the Mobile Application or certain sections of the websites without notice. Allianz has taken virus protection measures for the Mobile Application, and does not guarantee such measures. The User should take necessary measures for virus protection.

9.4. The applications made through such persons that are underage may not exercise the rights of User, even if they have completed the necessary registration procedures. Allianz shall not be liable for any requests and procedures made otherwise.

9.5. Allianz may unilaterally terminate this agreement with immediate affect at any time without indicating any reason therefor, without notice, and without assuming any obligation to pay the damages, and may terminate the use of this Mobile Application by the User.

9.6. The 'Privacy Policy' available on the Mobile Application is an integral part of this Agreement, and the Users agree, represent and warrant that they have read and acknowledged the terms of the 'Privacy Policy'; that they comply with the Contents thereof, and that they know that otherwise, they should not get access to the Mobile Application, nor visit, display, and use the Mobile Application.

9.7. In case of any breach of the terms of this Agreement, Allianz may block the use of the Mobile Application by the User and/or apply to any and all legal remedies against the User.

9.8. In case of any disputes that will arise from use of the Mobile Application and Service, the commercial records, books and records, log entries, microfilm, microfiches, and digital records as kept by Allianz on its own database and servers shall be final and exclusive evidence.

10.1. This User Agreement shall remain effective as long as the User continues to be a member subscribed to the Mobile Application, and continue to have the same effects and results between the parties.

11.1. The mobile phone number as provided by the Users to Allianz shall be deemed as the phone number by which the legal address will be requested for any and all notifications to be made in relation to this Agreement.

11.2. The Parties hereby acknowledge that any notice to be made using their previous phone numbers shall be valid and deemed to have been received by them, if the parties fail to notify the other party of any changes to their existing phone numbers not later than 3 (three) days.

12.1. This Agreement shall be executed, construed, and governed by the law of the Republic of Turkey, in case of any dispute arising from, in relation to or in connection with this Mobile Application. The Anatolian Side Courts and Enforcement Offices of Istanbul shall enjoy the competent jurisdiction in settlement of any disputes that have arisen or will arise from this Agreement.
